MINUTES OF THE JUNE 10, 2013, SPECIAL MEETING
OF THE BOARD OF TRUSTEES
RICHARD T. FLICKINGER MUNICIPAL CENTER

Pursuant to proper notice in accordance with the Open Meetings Act, the special meeting was
called to order at 6:03 pm by Mayor Daniel P. DiMaria who led the assemblage in the pledge of
allegiance. Clerk Ed Ramos called the roll. In attendance were:
Elected Officials: Mayor Daniel P. DiMaria, Trustees Bill Grear, Tony S.
Kalogerakos, John Pietron, and John Thill
Absent: Trustees Sheldon Marcus and Maria Toth
Village Staff: Village Administrator Ryan J. Home, Corporation Counsel Teresa
Hoffman Liston. Assistant to the Village Administrator Peter
Falcone. Police Chief Mark Erickson. Building Commissioner Bill
Porter, Fire Chief Tom Friel, Finance Director/Treasurer Remy
Navarrete, IT Director Boyle Wong, Intern Laura Lake
Also Present: Members of the public and press
Village Administrator Ryan J. Horne introduced Finance Director Remy Navarrete who gave a
brief overview of the Finance Department operations. She stated the Village uses a General
Fund for day-to-day operations. The General Fund is supported by property taxes, sales taxes,
income taxes, food and beverage taxes. fines, fees. and permit fees. The Village has Special
Revenue Funds which are restricted for particular purposes. Those funds include the Motor Fuel
Tax Fund, the E 911 Fund, the Economic Development Fund (for non-TIF agreements such as
the Village's agreement with Culvers), Commuter Parking Lot Fund. Lehigh Ferris TIF District
Fund which expires in 2023, Waukegan Road TIF District Fund which expires in 2017, the Debt
Service Fund which supports General Fund Obligations GO Bonds and IEP Loans. and the
Capital Projects Fund which supports non-enterprise fund public improvements. The Village
also has Enterprise Funds which are user supported. These include the Water Fund, the Sewer
Fund. the Solid Waste Fund, and the Municipal Parking Lot Fund. The final category of funds
are the Trust Funds. These include the General Employee Pension Fund which provides pension
benefits through CNA for nonunion employees who were hired before 2005, the Firefighter
Pension Fund which is supported by Village contributions and payroll deductions of 9.455%
from participants, and the Police Pension Fund which is supported by Village contributions and
payroll deductions of 9.91% from its members.

Corporation Counsel Liston then provided information on the Open Meetings Act and the
Village's various ethics requirements. Ms. Liston reminded the Board a meeting can occur
inadvertently when emailing a group of board members. She cautioned Board members to not
"reply to all" on these emails. Ms. Liston then reviewed the Village's various ethics ordinances
and state statutes regarding gift bands and conflict of interest. She noted in addition to
complying with Village ordinances and state laws. Board member should always try to avoid the
appearance of impropriety. Finally, Ms. Liston discussed legal requirements when discussing
unionization with employees. She cautioned the Board not to commit unfair labor practices and
to avoid TIPS –making any sort of threat to employees with respect to joining a Union, to
interrogate employees about unionization efforts, to make promises to employees relative to
unionization, and/or to place any employee under surveillance.
Mr. Home then reviewed the ICMA Code of Ethics with the employees. He noted elected
officials and department directors are considered leaders of the Village. These leaders establish
the a culture within the organization. Elected officials are viewed as having awesome power. He
noted it is the function of the Board to set policy and the execution of day-to-day operations
should be left to staff
He noted given the late hour, additional information and helpful articles could be found in the
Trustees' handouts/binders which were disseminated at last week's meeting.
There being no further business, Trustee Thill moved to adjourn the Special Meeting. The
motion was seconded by Trustee Kalogerakos and approved unanimously pursuant to a voice
vote at 6:56 PM I1
