HomeMy WebLinkAbout2006-12-14 Special Meeting MinutesMorton Grove, Illinois December 14, 2006 The President and Board of Trustees of the Village of Morton Grove, Cook County, Illinois met at a special meeting at the Richard T. Flickinger Municipal Center, 6101 Capulina Avenue, Morton Grove, Illinois, on December 14, 2006, at 6:00 o'clock P.M. The meeting was called to order and there was present Richard Krier, Village President, presiding, and the following Trustees: Georgianne Brunner, Daniel DiMaria, Roy Kogstad (arrived at 6:10 P.M.), Rita Minx, Dale Senensky, and Daniel Staackmann; no Trustees were absent. Clerk Carol A. Fritzshall was also present. The President informed the Clerk and the Board of Trustees of the Village (the `Board") that a Public Hearing was to be held at 6:00 P. M. on December 14, 2006, before the Board concerning the intention of the Village of Morton Grove, Cook County, Illinois, to issue its Variable Rate Demand Revenue Bonds in a principal amount not to exceed thirty million dollars ($30,000,000) for the purpose of financing costs of acquisition, construction, and equipping of the Illinois Holocaust Museum and Education Center and related facilities (the "ProjecP') to be owned by the Holocaust Memorial Foundation of Illinois, Inc., an Illinois not-for-profit corporation (the `Borrower', and located in Skokie, Illinois. All who appeared at such meeting were given an opportunity to express their views for or against the proposal. Obligator's Counsel Howard J. Swibel introduced the project and presented a PowerPoint presentation. Statements in favor of the proposal were made by the following individuals: Sam Harris, a holocaust survivor Richard Hirschhaut, Illinois Holocaust Museum and Education Center Larry Suffredin, Cook County Commissioner Laura Burke, Village resident John Thill, Village resident Mr. Lee, Village resident Christy Krier, Village resident Objections to the proposal were made by the following individuals: Patrick Kansoer, Village resident David Conrad, Village resident Joe Borst, Village resident Wilma Wendt, Village resident Special Counsel to the Village, Janet Goetz Hoffman, of the law firm Katten Muchin Zavis Rosenman, answered questions from the Board. Mr. Swibel also answered questions from the Board as did Frank Paul from KeyBanc Capital Markets. Trustee Brunner moved to adjourn the Public Hearing, the motion was seconded by Trustee Minx and approved unanimously pursuant voice vote at 7:58 P. M. The Special Meeting resumed and President Krier announced the Board would consider, as a second reading, the adoption of the Ordinance 06-46 entitled "Authorizing the Issuance and Sale by the Village of Morton Grove, Cook County, Illinois of Not to Exceed $30,000,000 Cultural Facility Variable Rate Demand Revenue Bonds. Series 2006 (Illinois Holocaust Museum and Education Center Proiect) for the Pumose of Financing Costs of Acquiring. Constructing and Equipping the Illinois Holocaust Museum and Education Center and Related Facilities in Skokie. Illinois: Authorizing the Execution and Deliverv of an Indenture of Trust to Secure the Bonds, a Loan Agreement Under Which the Proceeds of the Bonds will be Loaned to Holocaust Memorial Foundation of Illinois, Inc., a Tax Exemption Certificate and Agreement Pertaining to the Tax Exemption of the Bonds, and a Bond Purchase Agreement Providing for the Purchase and Sale of Said Bonds: Authorizing the Deliverv of an Official Statement Relating to Said Bonds; and Related Matters" (the "Ordinance"). Trustee Brunner moved the ordinance be adopted. The motion was seconded by Trustee Minx. After due consideration of the Ordinance by the Board, the Village President put the question to a vote and upon the roll being called, the following voted: Trustee Brunner Aye Trustee DiMaria Nay Trustee Kogstad Nay Trustee Minx Aye Trustee Senensky Aye Trustee Staackmann Nay Clerk Fritzshall announced there was a tie and Richard Krier, Village President then voted Aye. Whereupon the Village Clerk declared Ordinance 06-46 duly adopted, and the Village President, upon his approval thereto in open session as evidence of his approval caused it to be attested under seal by the Village Clerk and declared it to be in full force and effect. Trustee Minx then moved to adjourn the regular meeting, the motion was seconded by Trustee Brunner and passed unanimously pursuant to a voice vote. The meeting subsequently adjourned at 8:46 P. M.
