(Tenant); and WHEREAS, said lease was reviewed by the Village's Real Estate Committee which made certain recommendations as to terms and conditions for the continuation of said lease with said Tenant; and WHERAS, to date said Tenant has been a good tenant paying rent to the Village on a timely basis,maintaining the facility and utilizing the facility in a good and safe business practice; and WHEREAS, the Tenant has requested to remain in the building for an additional period of time and has agreed to a sizeable increase in rental income along with a modified lease agreement which will better serve and protect the interest of the Village as Lessor; and WHEREAS, the terms of said lease include the following: A. Lessee shall pay base rent of$1698.00 plus all real estate taxes due and owed for said property during the term of said lease. B. Said lease to be a triple net lease in that the Tenant shall pay in addition to rent, all taxes, utilities, insurance, and upkeep charges. C. Either party shall have the option to terminate this lease for any reason after May 1, 2005, upon four months advanced written notice; and WHEREAS, the Village Board of Trustees deemed the execution of this lease is in the best interest of the Village. IMPROVEMENTS -Lessee shall not make any improvements to the premise without Lessor's written consent, unless otherwise agreed to in writing. RENT AFTER NOTICE OR SUIT-It is further agreed,by the parties hereto,that after the service of notice, or the commencement of a suit or after final judgment for possession of the Premises,Lessor may receive and collect any rent due,and the payment of said rent shall not waive or affect said notice, said suit,or said judgment. 17. PAYMENT OF COSTS -Lessee will pay and discharge all reasonable costs,attorney's fees and expenses that shall be made and incurred by Lessor in enforcing the covenants and agreements of this lease. 18. RIGHTS CUMULATIVE-REMEDIES NOT EXCLUSIVE-The rights and remedies of Lessor under this lease are cumulative. The exercise or use of any one or more thereof shall not bar Lessor from exercise or use of any other right or remedy provided herein or otherwise provided by law,nor shall exercise nor use of any right to remedy by Lessor waive any other right or remedy.—The obligation of Lessee to pay the rent reserved hereby during the balance of the term hereof,or during any extension hereof, shall not be deemed to be waived,released or terminated by the service of any five-day notice,other notice to collect,demand for possession, or notice that the tenancy hereby created will be terminated on the date therein named,the institution of any action of forcible detainer or ejectment or any judgment for possession that may be rendered in such action, or any other act or acts resulting in the termination of Lessee's right to possession of the Premises. The Lessor may collect and receive any rent due from Lessee, and payment or receipt thereof shall not waive or affect any such notice, demand, suit or judgment,or in any manner whatsoever waive, affect,change, modify or alter any rights or remedies which Lessor may have by virtue hereof. 19. FIRE AND CASUALTY-In case the premises shall be rendered untenantable during the term of this lease by fire or other casualty,Lessor at his option may terminate the lease or repair the premises within 60 days thereafter. If Lessor elects to repair, this lease shall remain in effect provided such repairs are completed within said time. If Lessor shall not have repaired the premises within said time,then at the end of such time the term hereby created shall terminate. If this lease is terminated by reason of fire or casualty as herein specified,rent shall be apportioned and paid to the day of such fire or other casualty. 20. SUBORDINATION-This lease is subordinate to all mortgages which may now or hereafter affect the Premises. 21. SECURITY DEPOSIT-A Security Deposit in the amount of$0 shall be paid upon the execution of this lease. First month's base rent and escrow payments in the amount of$2,802.00 shall be paid on or before October 1,2004. 22. INSURANCE-Lessee shall maintain from a responsible company,approved by Lessor, with a Best's rate of no less than A-VII or better,and licensed to do business in the State of Illinois, and general liability insurance, insuring Lessor,its officials,agents,employees,and volunteers against all claims,demands or actions including the actions for injury or to or death of any person or any property in an amount not less than$2,000,000 combined single limit per occurrence coverage for bodily injury and property damage made by or on behalf of any person,firm,or corporation arising from,related to, or connected with the conduct and operation of Lessee's business in the leased premise. Additionally, said insurance shall include coverage for fire loss with such extended coverage endorsements as Lessor may from time to time require covering all of Lessor's stock,fixtures, furnishings,floor covering,and equipment in the leased premise, and shall contain a certificate covering Lessor's interest therein as it may appear. In the event that Lessee does not provide the insurance required by this paragraph,Lessor shall have the right to purchase such insurance and keep the same in effect and Lessee shall pay 4 to Lessor the premium cost thereof upon demand. Lessee shall not occupy or use the premise nor permit the premise to be occupied or used for any purpose that would increase the premium for fire or casualty insurance on the premise over the formal rates applicable to the business for which the premise is leased and shall not so conduct its business as to increase the premium over such rate. The Lessor,its officials,agents,employees,and volunteers are to be covered as additional insureds as respects: liability arising out of Lessee's tenancy or use of the premise including activities performed by or on behalf of Lessee;product and completed operations of Lessee. The coverage shall contain no special limitations on the scope of protection afforded to the Lessor its officials, agents,employees,and volunteers. The Lessee's insurance coverage shall be primary as respects the Lessor,its officials,agents,employees,and volunteers. Any insurance or self-insurance maintained by the Lessor,its officials, agents,employees,and volunteers shall be in excess of Lessee's insurance and shall not contribute with it. All general liability coverage shall be provided on an occurrence policy form. Claims-made general liability policies will not be accepted. Each insurance policy required by this section shall be endorsed to state that the coverage shall not be suspended, voided,cancelled,reduced in coverage,or in limits except after thirty(30)days prior written notice by certified mail,return receipt requested,has been given to the Lessor. Lessee shall furnish the Lessor with certificates of insurance naming the Lessor,its officials,agents, employees,and volunteers as additional insured and with original endorsements affecting coverage required by this clause. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. The certificates and endorsements may be on forms provided by the Lessor and are to be received and approved by the Lessor before the commencement of this lease. Insurance endorsements must provide a scope of coverage at least as broad as the coverage stated on ISO additional insured endorsements CG2010 or CG2026. The Lessor reserves the right to request full certified copies of the insurance policies and endorsements. 23. SCAVENGER-Lessee shall be responsible for providing its own scavenger service. 24. TAXES-ESCROW-Lessee shall pay and be responsible for,in addition to those costs, utility and scavenger bills set forth previously in this lease,and all real estate and special assessment taxes for the premises,accrued against the property or otherwise billed, due or payable during the terms of this lease. Lessee shall pay in addition to the$1,698.00 per month rent the sum of$1,104.00 each month to Lessor as escrow payments for the real estate and special assessment taxes and association assessments dues and fees. If said escrow payments are insufficient to cover the cost of said taxes assessments dues and fees,Lessee shall pay any excess costs within 30 days of receipt written request by Lessor. 25. LESSOR'S LIEN—Lessor shall have a first lien upon the interest of Lessee under this lease,to secure the payment of all moneys due under this lease,which lien may be foreclosed in equity at any time when money is overdue under this lease; and the Lessor shall be entitled to name a receiver of said leasehold interest,to be appointed in any such foreclosure proceeding, who shall take possession of said premises and who may relet the same under the orders of the court appointing him. 26. REMOVAL OF OTHER LIENS—In event any lien upon Lessor's title results from any act or neglect of Lessee,and Lessee fails to remove said lien within ten days after Lessor's notice to do so,Lessor may remove the lien by paying the full amount thereof or otherwise and without any investigation or contest of the validity thereof, and Lessee shall pay Lessor upon request the amount paid out of Lessor in such behalf,including Lessor's costs, expenses and counsel fees. 27. MISCELLANEOUS— a. Provisions typed on this Lease and all riders attached to this lease and signed by Lessor and Lessee are hereby made a part of this lease. 5 b. Lessee shall comply with all applicable federal,state, and local laws,rules and ordinances and shall keep and observe such reasonable rules and regulations now or hereafter required by Lessor. c. All covenants,premises,representations and agreements herein contained shall be binding upon,apply and inure to the benefit of Lessor and Lessee and their respective heirs,legal representatives, successors and assigns. d. If any clause,phrase,provision or portion of this lease or the application thereof to any person or circumstance shall be invalid,or unenforceable under applicable law, such event shall not affect,impair or render invalid or unenforceable the remainder of this lease nor any other clause,phrase,provision or portion hereof,nor shall it affect the application of any clause,phrase,provision or portion hereof to other persons or circumstances. e. The words "Lessor"and "Lessee" wherever herein occurring and used shall be construed to mean "Lessors" and "Lessees"in case more than one person constitutes either party to lease;and all the covenants and agreements contained shall be binding upon,and inure to,his respective successors,heirs, executors,administrators and assigns and may be exercised by his or his attorney or agent. f. Wherever possible each provision of this lease shall be interpreted in such manner as to be effective and valid under applicable law but if any provision of this lease shall be prohibited by or invalid under • applicable law,such provision shall be ineffective to the extent of such prohibition or invalidity,without invalidating the remainder of such provision or the remaining provisions of this lease. g. Notices may be served on either party, at the respective addresses given at the beginning of this lease,either(a)by delivering or causing to be delivered a written copy thereof, or(b)by sending a written copy thereof by United States certified or registered mail,postage prepaid,addressed to Lessor or Lessee at said respective addresses in which event the notice shall be deemed to have been served at the time the copy is mailed. h. Wherever possible each provision of this lease shall be interpreted in such manner as to be effective and valid under applicable law but if any provision of this lease shall be prohibited by or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the remaining provisions of this lease. 28.
